Terms of Service
1. Agreement to Terms
By accessing or using Kinsync (“Platform”, “Service”), you agree to these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the Service.
These Terms constitute a legally binding agreement under the Contract Act, 1872 and are recognised in electronic form under the Electronic Transactions Ordinance, 2002.
2. Eligibility
- You must be at least 18 years of age and legally competent to contract under Pakistani law.
- Founders must have authority to register the business and invite family members.
- Family members must join only through a valid join code issued by an authorised Founder.
- You must provide accurate information, including CNIC details where requested.
3. Description of Service
Kinsync provides:
- Succession Health Score diagnostic tools;
- Pre-Governance questionnaires and conditional logic;
- Automated generation of family business governance document drafts;
- Family roster management, join codes, acknowledgments, and quarterly pulse reviews;
- Flagging and notification features (as enabled).
The Service supports governance workflows referencing Pakistani legal frameworks (including Companies Ordinance 1984 / Companies Act 2017, Partnership Act 1932, Contract Act 1872, Arbitration Act 1940, Succession Act 1925, and Islamic inheritance principles where selected). Outputs are templates and drafts only — enforceability depends on your legal structure, registration status, signatures, filings with SECP/Registrar of Firms, and counsel review.
4. Account Roles & Responsibilities
4.1 Founder
- Responsible for subscription, business profile accuracy, and join-code security;
- Must respond to family flags within stated timeframes where applicable;
- Designates emergency contacts and governs family roster membership;
- Must not use the Platform to circumvent lawful succession or inheritance obligations.
4.2 Family Member
- Must complete onboarding truthfully and acknowledge the Privacy Policy and Family Communication Code of Conduct;
- May flag clauses and participate in discussions in good faith;
- Must not share login credentials or join codes publicly;
- Abusive or fraudulent flagging may result in suspension per Platform rules.
4.3 Emergency Contact
- Activated only under defined emergency/inactivity protocols;
- Must verify identity via OTP when designated;
- Access is limited to emergency-view permissions unless full incapacity protocols are satisfied.
5. Subscription, Fees & Payment
Subscription tiers (Essential, Professional, Enterprise) are described on the Platform. Fees are quoted in Pakistani Rupees (PKR) unless stated otherwise. Payment terms, invoicing with NTN, and refunds will be specified at checkout and comply with applicable FBR/SRB tax requirements. Failure to pay may result in suspension of generation and collaboration features while preserving read-only access to prior documents for a reasonable period.
6. Acceptable Use
You agree not to:
- Violate any law of Pakistan, including PECA 2016 (unauthorised access, impersonation, harassment, defamation);
- Upload false CNIC, business, or succession information;
- Attempt to bypass join-code limits, brute-force codes, or access other businesses’ data;
- Use the Service to plan unlawful asset concealment, tax evasion, or oppression of lawful heirs;
- Reverse-engineer, scrape, or resell the Service without written consent;
- Transmit malware or interfere with Platform security.
We may suspend or terminate accounts for breach, with notice where practicable.
7. Governance Documents & No Legal Advice
- Documents are generated from your answers using rule-based logic — not from individual lawyer review;
- Unregistered partnerships, sole proprietorships, and unregistered structures may have limited enforceability against third parties until properly registered;
- Shariah reconciliation appendices are informational; consult qualified Shariah advisers and lawyers;
- Kinsync is not liable for business decisions, family disputes, or succession outcomes;
- You must obtain independent legal review before signing, filing, or relying on any output.
8. Family Communication Code of Conduct
Participants agree to:
- Communicate in good faith regarding governance matters on the Platform;
- Use the Conflict Resolution Ladder before external litigation where the document applies;
- Not use emergency or health reporting features maliciously (false death/incapacity reports may trigger account suspension and legal consequences under PECA 2016);
- Respect confidentiality of family business information accessed through the Platform.
9. Intellectual Property
Kinsync owns the Platform, software, templates, scoring algorithms, and branding. You retain ownership of your uploaded content and business data. You grant us a limited licence to host, process, and display your data solely to provide the Service. Generated documents are licensed to your business for internal governance use; redistribution to third parties (except advisers) requires written permission unless exported for legal review.
10. Confidentiality
We treat governance data as confidential subject to the Privacy Policy. Founders and family members must not disclose other members’ CNIC, emergency contacts, or private flags outside authorised Platform channels without consent or legal requirement.
11. Electronic Records & Signatures
Acknowledgments, typed-name confirmations, and electronic actions on the Platform are intended to comply with the ETO 2002 for internal governance tracking. They may not replace formal execution requirements under your company’s articles, partnership deed, or stamp duty laws — follow counsel guidance for legally binding execution.
12. Availability & Modifications
We strive for high availability but do not guarantee uninterrupted access. Maintenance, upgrades, and force majeure events may cause downtime. We may modify features with reasonable notice to Founders. Material adverse changes to paid tiers will be communicated in advance.
13. Limitation of Liability
To the maximum extent permitted by Pakistani law:
- Kinsync is provided “as is” without warranties of merchantability, fitness for a particular purpose, or non-infringement;
- We are not liable for indirect, consequential, or punitive damages, loss of profits, succession failure, family litigation, or business interruption;
- Our aggregate liability for any claim arising from the Service shall not exceed the fees paid by you to Kinsync in the 12 months preceding the claim, or PKR 50,000, whichever is greater, except where liability cannot be limited by law (including fraud or wilful misconduct).
14. Indemnification
You agree to indemnify and hold harmless Kinsync, its officers, and employees from claims arising from: (a) your breach of these Terms; (b) inaccurate data you provide; (c) disputes among family members relating to governance content you approved; (d) your violation of applicable law.
15. Termination
- By you — Founders may close an account via support request; family members may withdraw per the Privacy Policy;
- By us — for breach, non-payment, fraud, or legal requirement;
- Effect — access ends; retention applies as stated in the Privacy Policy; previously acknowledged document versions remain archived for audit purposes where required.
16. Dispute Resolution
- Internal resolution — parties should first use the Platform’s conflict and flagging mechanisms;
- Negotiation — good-faith negotiation for 30 days;
- Arbitration — unresolved disputes may be referred to arbitration under the Arbitration Act, 1940, seated in Islamabad (or the Founder’s registered province if agreed), in English or Urdu;
- Courts — either party may seek urgent injunctive relief from courts of competent jurisdiction in Pakistan.
17. Governing Law & Jurisdiction
These Terms are governed by the laws of the Islamic Republic of Pakistan. Subject to Section 16, the courts at Islamabad shall have exclusive jurisdiction, without prejudice to mandatory consumer protection forums where applicable.
18. Force Majeure
We are not liable for failure or delay due to events beyond reasonable control, including natural disasters, war, civil unrest, government orders, internet outages, or utility failures.
19. Severability & Waiver
If any provision is held invalid, the remainder continues in effect. Failure to enforce a provision is not a waiver of future enforcement.
20. Entire Agreement
These Terms, the Privacy Policy, and any order form or subscription confirmation constitute the entire agreement regarding the Service, superseding prior understandings on the same subject.
